good news: simple problem. just need to know how things work.

first, amke two images. one Black and White, the other color.

If you want to make them fade, place them both on top of each other, on SEPERATE layers. Then select the top one (the one to fade out) and press F8, turn it into a Movie Clip on the menu. You have turned it into an MC symbol, the basic animation element in Flash. Now you can apply an Alpha fade via motion tweens. Or you could make it move out of the way over tme, revealing the image in back like a "curtain being pulled up."

things to look up in your help files:
    - symbol (movie clip)
    - motion tween
    - alpha

I don't think Flash makes it possible to adjust color saturation in raster images.
An effective way to pull this off is to build a series of images in PhotoShop... assuming the images are not too large. I think this will give you much more creative control.
Import the jpeg series into a new movie clip, and you're ready to go!
