Hi,
probably you did not install the proper modem what was
there in windows 98,remeber there is always different type
of modem driver for different OS so,install proper one in
xp and also do noty forget to cross check your phone cable.

IT is better to see the Manufacture's name and install the
particular driver like i face the same problem when i
shifted from 98 to xp but when i install exact driver it
works for me.check your modem manufaturer name and number
like "DFMIS00 ++" etc this is data fax modem .
rememreb xp will give warning to you about digital
certificate.
