Default memory Issues with 2003 Server

I cannot run 4GB with my version of 2003 server. It works
fine with 3GB but when the 4th gig is added it fails to
boot. I have verified with the manufacturer of the
hardware that the hardware is good... it is a window
    problem... need help fast!

Define "Fails to boot". Do you get a blue screen error? Does the boot
process hang? Does the machine catch fire and send flames shooting all over
your server room (in which case i'd go back to the hardware folks, btw), or
    what does it do?

    Could the ram be bad?

I've got a w2003 server with 4gb of ram that boots just fine.
